EP NL, a subsidiary of EPH-group, has established its presence in the Dutch energy market in early 2023 and has successfully acquired a trade & supply company and four state-of-the-art power plants. With a combined capacity of 2.6 GW, EP NL (PZEM) has become the third-largest operator of power plants in the Netherlands.

As the company aims for further growth, we are seeking a talented (senior) legal counsel to join our legal team. The legal counsel will be responsible for the commercial and operational activities of EP NL, and its subsidiaries within the Netherlands. You will also collaborate with the group legal department of EPH headquarters in Prague.

The legal team in the Netherlands currently consists of a head of legal and two compliance & contract lawyers. You will report to the head of legal.

What are your key Tasks?

• Structuring, drafting and negotiating of commercial contracts; including: (i) gas & electricity B2B contracts; (ii) (renewable) Power Purchase Agreements; (iii); EFETs; (iv) tolling agreements;
• Supporting M&A and new business development, including drafting and negotiation of MoUs and SPAs, shareholders' and partnership agreements and performing legal due diligence;
• Analyzing and implementing the (EU) legislative agenda affecting the energy trade & supply and the power plants (energy act, the environment and planning act, etc.);
• Developing a strong understanding of the business and developing relationships with key stakeholders (internal and external);
• Management of litigation.

What do we expect from you?

• Qualified lawyer with an University degree in Dutch Law;
• 5-10 Years’ experience in an international company or a law firm, with an established practice in energy law;
• Accurate and result-oriented;
• Service-oriented, enthusiastic, client-oriented and collegial attitude;
• Strong problem solving skills;
• Ability to work independently and under pressure within strict time constraints;
• Ability to prioritize and manage multiple tasks;
• Fluent in Dutch and English, with strong drafting and communication skills.
